Definitions

i-Harbor

the collection of software and databases comprising the Platform, presented as an online catalog of Listings posted by Users on i-Harbor to connect with other Users and enter into transactions. i-Harbor is available at

(including all domain levels) and is intended for Users in the Russian Federation

Company

Moya Gavan LLC (INN 2370018430, OGRN 1262300019057, address: 41/1 Sovetskaya Street, Severskaya, Seversky District, Krasnodar Krai, 353240, Russia), the rights holder of i-Harbor

User

any individual, or a legal entity, self-employed person, or individual entrepreneur registered in the Russian Federation, who uses i-Harbor

Listing

an offer of goods posted by a User on i-Harbor

Profile

the personalized section of i-Harbor that enables a registered User to take actions on i-Harbor, including managing Listings and other activities

Sign-In Credentials

the email address and password for a Profile

User Content

text, images, and videos posted by Users on i-Harbor, including in Listings and the public section of a Profile

i-Harbor Rules

the section of i-Harbor

containing legally significant Company documents and other important information

Terms

this document, the i-Harbor Terms of Use

1. Subject Matter of the Terms

1.1. The Company grants the User a royalty-free, nonexclusive license to use i-Harbor.

1.2. The Company is not a party, transaction organizer, buyer, seller, intermediary, agent, representative of a User, beneficiary, or other interested party in transactions between Users.

2. Registering with i-Harbor

2.1. A User may register with i-Harbor through the registration form using their email address.

2.2. After completing the registration form, the User gains access to a Profile.

2.3. To complete registration, the User must add their phone number to the Profile.

2.4. Only one Profile may be associated with a given phone number on i-Harbor at any time.

2.5. A User may not register using a phone number associated with a deleted or blocked Profile until 90 days after its deletion or blocking.

3. Signing In to i-Harbor

3.1. The User uses their Sign-In Credentials to access their Profile on subsequent visits.

3.2. The User must keep their Sign-In Credentials confidential.

3.2.1. If a User loses their Sign-In Credentials or believes they have become available to third parties, the User must notify the Company immediately.

3.2.2. The User may not sell, rent, or give their Sign-In Credentials to third parties.

3.2.3. All actions taken using the Sign-In Credentials are deemed to have been taken personally by the User. The User is responsible for those actions.

4. License to Use i-Harbor

4.1. The User may use all i-Harbor features available to them, including the following:

4.1.1. posting information on i-Harbor as Listings, for Users who are signed in;

4.1.2. searching and viewing Listings on i-Harbor, whether or not the User is signed in;

4.1.3. using other features available on i-Harbor.

4.2. Users use i-Harbor and its information to enter into transactions at their own risk. Users independently assess the completeness, reliability, accuracy, and compliance with applicable law of that information, without direct or indirect participation or oversight by the Company.

4.3. The Company grants the User the right to use i-Harbor:

4.3.1. for the duration of the exclusive rights;

4.3.2. in the Russian Federation and in other countries where i-Harbor can technically operate on the device used by the User. Some i-Harbor features may be unavailable, including outside the Russian Federation.

5. Representations of the Parties

5.1. The User represents that they:

5.1.1. do not infringe the intellectual property or other rights of third parties when using i-Harbor;

5.1.2. have the authority necessary to enter into and comply with the Terms.

5.2. The User must:

5.2.1. act in good faith and comply with applicable law, the Terms, other i-Harbor Rules, and Company guidance;

5.2.2. provide the Company with complete, accurate, current information that complies with applicable law.

5.3. The Company represents that it owns:

5.3.1. exclusive rights to i-Harbor and the Company trade name, trademarks, and other identifying marks, including those used in the domain names

5.3.2. rights to the databases. The databases include both content publicly available on i-Harbor and content that may not be available for Users to view at a given time.

5.3.3. exclusive rights to all materials posted by the Company on i-Harbor, including text, interface elements, graphics, illustrations, videos, photographs, and other materials.

6. Prohibited Activities

When interacting with the Company and other Users, or otherwise using i-Harbor, the User must not:

6.1. use i-Harbor or content published on it, including User Content, in ways or for purposes not permitted by the i-Harbor Rules;

6.2. attempt to gain unauthorized access to personal information of another User by any means, including deception, abuse of trust, or hacking a Profile;

6.3. contact Users without intending to enter into a transaction relating to a Listing, or engage in activities that result in spam;

6.4. take actions intended to disrupt normal operation or bypass technical restrictions of i-Harbor;

6.5. upload or use malicious software on i-Harbor, or use automated scripts to register;

6.6. use technical means to interact with i-Harbor outside the normal usage process, including to collect or otherwise process personal data or content published on i-Harbor;

6.7. copy, modify, prepare derivative materials from, decompile, disassemble, attempt to uncover the source code of, or otherwise alter i-Harbor in violation of the i-Harbor Rules;

6.8. extract materials or information from i-Harbor databases, or use them in any form or by any means, unless directly related to entering into a transaction concerning an item in a Listing, including to populate third-party databases, create datasets, or support any stage of third-party artificial intelligence development;

6.9. mislead other Users or the Company in any way, impersonate another person or their representative without sufficient authority, including impersonating the Company, or otherwise engage in unlawful representation;

6.10. engage in unlawful conduct on i-Harbor; use images or statements that promote or provoke violence, cruelty, hatred, or disrespect, contain threats, insults, or defamatory information, justify unlawful or bad-faith conduct or encourage or incite it, aim to incite hatred or hostility, or violate moral standards or business practices; use obscene or abusive language; or send indecent or inappropriate messages.

7. User Content

7.1. The User independently creates, modifies, publishes for unrestricted public access, and deletes User Content without any involvement by the Company.

7.2. The User must ensure that User Content complies with applicable law and the i-Harbor Rules and is responsible for such compliance.

7.3. The User warrants that User Content does not infringe the lawful rights and interests of third parties, including intellectual property rights.

7.4. User Content may be posted solely for informational purposes.

7.5. The Company is not required to review User Content before publication. The Company takes action regarding User Content based on requests or decisions of authorized persons.

7.6. The User grants the Company a royalty-free, nonexclusive license to use User Content by any means without naming the author, including the rights to reproduce, distribute, adapt, and create derivative works, as well as to display and make publicly available such content or any part of it. The User grants these rights for the entire duration of the exclusive rights to that content.

7.7. The Company may:

7.7.1. use User Content to perform its obligations under the Terms, improve i-Harbor, and for marketing and educational purposes and commercial and noncommercial projects;

7.7.2. retain archival copies of User Content and refrain from withdrawing materials containing it from circulation;

7.7.3. automatically add i-Harbor logos to photographs and videos uploaded by Users to protect database materials from unauthorized copying;

7.7.4. generate analytics based on business metrics for Listings posted by legal entities and/or individual entrepreneurs, such as views and saves to favorites, and use those analytics to attract new users. Business analytics are not used to identify a particular User;

7.7.5. request information from the User to confirm their authority, verify information they provided on i-Harbor, or verify the item involved in a potential transaction.

8. Company Communications with Users

8.1. The Company may send Users the following messages:

8.1.1. required system notifications that cannot be disabled, such as registration confirmations or notices of restrictions on access to a Profile or Listings;

8.1.2. service notifications related to actions taken by the User on i-Harbor;

8.1.3. marketing and informational notifications, including Company tips, invitations to participate in research, promotions, and Company or i-Harbor news.

8.2. Messages may be sent:

8.2.1. to the email address in the Profile or otherwise provided by the User;

8.2.2. to the phone number in the Profile or additionally provided by the User;

8.3. The User grants the Company the right to use materials contained in their communications with the Company, including intellectual property incorporated into them:

8.3.1. to perform obligations under the Terms and improve i-Harbor and the user experience;

8.3.2. under a royalty-free, nonexclusive license, for the entire duration of the exclusive rights held by the User to the relevant material, by any means, with or without attribution.

9. Restrictions on Access to i-Harbor

9.1. To maintain security on i-Harbor, the Company may, at its discretion, conduct selective checks of User compliance with the Rules at any time and by various means.

9.2. The Company may restrict access to a Profile or i-Harbor features, including by:

9.2.1. rejecting or blocking User Content;

9.2.2. limiting the visibility of User Content in search results;

9.2.3. restricting the use of individual i-Harbor features or Company services;

9.2.4. restricting access to i-Harbor from certain IP addresses or phone numbers.

Restrictions may be temporary, depending on the nature of the violation by the User.

9.3. The Company may restrict User access in the following circumstances:

Reasons for restricting access to a Profile or i-Harbor features include:

9.3.1. identifying violations of, or preparations to violate, applicable law, third-party rights, or i-Harbor Rules, such as engaging in prohibited activities or breaching representations;

9.3.2. identifying signs of abuse of i-Harbor, such as manipulating search results, circumventing i-Harbor Rules, or misusing i-Harbor features;

9.3.4. failure by the User to provide documents or information requested by the Company;

9.3.5. identifying repeated or deliberate violations of applicable law, third-party rights, or i-Harbor Rules, such as posting inaccurate Listings or prices;

9.3.6. receiving complaints from other Users about a Profile;

9.3.7. a third party hacking a User Profile;

9.3.8. liquidation of a User that is a legal entity or cessation of business by a User that is an individual entrepreneur;

9.3.9. signs of fraud in User behavior or the imposition of additional services or terms;

9.3.10. registration of a new Profile to replace a previously blocked one.

9.4. In exceptional circumstances, the Company may restore access to a Profile if the User has remedied the violations.

10. Limitation of Liability

10.1. i-Harbor is provided on an "as is" basis, in the form and to the extent that the Company makes its features available at the time of use.

10.1.1. The Company makes no express or implied warranties regarding i-Harbor, including warranties of fitness for a particular purpose, profitability of use, performance, system integration, uninterrupted operation, or freedom from errors or malfunctions.

10.1.2. i-Harbor features may be changed, expanded, or discontinued at any time without prior notice to Users.

10.1.3. To correct inconsistencies and errors in i-Harbor operation and improve the user experience, the Company may research, test, assess, and analyze features and make improvements to them.

10.2. The Company is not liable for:

10.2.1. temporary failures or interruptions in i-Harbor operation or any resulting loss of information;

10.2.2. damage or other malfunctions affecting a computer, mobile device, or other device used by the User while using i-Harbor;

10.2.3. any acts or omissions of service, network, software, or equipment providers;

10.2.4. any losses incurred by a User in connection with using i-Harbor or any part or feature of it;

10.2.5. harm to honor, dignity, or business reputation, or other harm suffered by a User in connection with using i-Harbor;

10.2.6. unlawful actions by third parties involving information that the User independently posted on i-Harbor and made available to other Users;

10.2.7. unlawful or bad-faith actions by i-Harbor Users;

10.2.8. improper performance of transactions by Users;

10.2.9. consequences of a User granting third parties access to their Profile;

10.2.10. unauthorized third-party interference with i-Harbor, including hacking, DDoS attacks, malware, and other disruptions;

10.2.11. potential losses incurred by Users in connection with measures taken to prevent and stop violations on i-Harbor.

To avoid losing User Content, the Company recommends keeping a backup copy on the device used by the User.

10.2.12. User Content posted on i-Harbor, and does not act as its distributor.

10.3. i-Harbor may contain links to third-party websites and offers. The Company does not control and is not responsible for their availability, content, legality, or the consequences of their use.

10.4. The User is independently liable to third parties if their actions infringe the rights and lawful interests of those third parties.

11. Deleting a Profile

11.1. The User may delete their Profile by contacting

11.2. The Company may delete a User Profile if the User has not taken any action relating to the Profile for 3 years.

12. Personal Data

12.1. The Company processes personal data of the User to perform its obligations under the Terms and on other lawful grounds in accordance with the

Privacy Policy

12.2. The User independently discloses personal data to an unlimited audience when they publish such data in the public section of a Profile or a Listing to provide other Users with the fullest possible information about the listed item.

12.3. If the User posts personal data of third parties or otherwise transfers it to the Company, the User warrants and represents that they have met applicable personal data protection requirements, including obtaining consent from the data subjects or having other lawful grounds for such actions.

13. Dispute Resolution

13.1. All disputes between the User and the Company must first be addressed through a pretrial claims procedure, unless otherwise provided by Russian law.

13.2. The User may send a written claim to the following address:

13.3. The Company reviews claims within the period prescribed by Russian law.

13.4. If the parties cannot reach an agreement, the dispute may be referred to a court at the location of the Company, unless otherwise provided by Russian law.

14. Final Provisions

14.1. Any interaction with i-Harbor, including viewing information, confirms acceptance of the Terms by the User.

14.2. The obligation of the Company to provide access to i-Harbor features is conditional on the obligation of the User to comply with the Terms.

14.3. The Company updates the Terms as needed. A new version takes effect when published in the i-Harbor Rules, unless the Company specifies a different effective date at publication.

14.4. By continuing to use i-Harbor after the Terms are amended, the User confirms acceptance of the changes.
